2.3 User Capacity

By using the Services, you represent and warrant that you have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3.1 Compliance with Laws

You agree to use the Services in compliance with all applicable local, state, national, and international laws and regulations. You must not use Watermark in Word for any unlawful or prohibited activities.

4.1 Ownership

All content, design, features, and functionality of the Services (including but not limited to trademarks, logos, text, graphics, images, and software code) are the exclusive property of Watermark in Word or its licensors and are protected by copyright, trademark, and other intellectual property laws.

4.2 User-Generated Content

You retain ownership of any content you upload or create within Watermark in Word (such as saved snippets, profile avatars, or Markdown documents). By uploading or submitting any content to Watermark in Word, you grant Watermark in Word a non-exclusive, worldwide, royalty-free, irrevocable license to use, reproduce, distribute, modify, and display such content for the purpose of operating and improving the Services.

4.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Services, you grant Watermark in Word a perpetual, worldwide, royalty-free license to use, incorporate, and modify that feedback in any manner without compensation to you.

5.1 Completely Free

Watermark in Word is a completely free online watermarking tool. There are no subscription fees, no payment requirements, and no hidden costs. All features are available to all users without limitation.

5.2 No Registration Required

You do not need to create an account, provide payment information, or register to use any part of the Services. Simply visit our website and start adding watermarks to your documents.

5.3 Future Changes

While the Services are currently free, we reserve the right to introduce paid features or subscription plans in the future. If we do so, we will provide advance notice and existing free features will remain free. You will never be charged without your explicit consent.

7.1 Temporary Server-Side Processing

• Upload: When you upload a Word document (.doc or .docx), the file is transmitted to our servers for processing.
• Processing: Our servers apply the watermark (text or image) that you specified to your document. This process typically takes only a few seconds.
• Delivery: Once the watermarked document is generated, it is immediately delivered to your browser for download.

7.3 Watermark Images

If you upload an image to use as a watermark (logo, signature, etc.), that image is subject to the same immediate deletion policy as your Word documents. The image is processed and deleted as soon as the watermarked document is generated.

7.4 Your Responsibilities

• Document Ownership: You represent and warrant that you own or have the right to upload and modify any documents you submit to the Services.
• Content Compliance: You agree not to upload documents containing illegal content, malware, viruses, or content that infringes on the rights of others.
• Backup Responsibility: You are solely responsible for maintaining backup copies of your original documents. We recommend keeping backups before processing any files.
• Sensitive Information: While we take security seriously, you should exercise caution when uploading highly sensitive or confidential documents. Consider the risks before uploading any document.

7.5 Security Measures

• Encryption: All uploads and downloads are encrypted using SSL/TLS (HTTPS) to protect your documents in transit.
• Malware Scanning: Uploaded files may be scanned for viruses and malicious code to protect our infrastructure and other users.
• Abuse Prevention: We employ Cloudflare Turnstile and other security measures to prevent automated abuse and protect the service for legitimate users.

8.1 General Disclaimer

To the fullest extent permitted by law, the Services are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

8.2 No Guarantee of Accuracy

While we strive to keep all informational content accurate and up to date, Watermark in Word makes no representations or warranties that the Services will be error-free or that all content is completely accurate.

8.3 Limitation of Liability

In no event shall Watermark in Word, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever (including, but not limited to, loss of profits, data, or business interruption) arising out of or related to your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages.

8.4 Maximum Aggregate Liability

Notwithstanding anything to the contrary in these Terms, Watermark in Word's total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the lesser of (a) the amount you have actually paid to Watermark in Word in the six (6) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

8.5 Force Majeure

Watermark in Word shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including—but not limited to—natural disasters, acts of terrorism, war, governmental action, labor disputes, power failures, or Internet service disruptions.

9.1 Changes to the Services

We reserve the right, at our sole discretion, to modify, suspend, or discontinue all or any part of the Services at any time, with or without notice. This includes adding new features, removing existing features, or changing pricing and subscription structures.

9.2 Changes to These Terms

We may revise these Terms periodically to reflect changes in our Services or legal requirements. When we make material changes, we will:

1. Update the "Last Updated" date at the top of this document.
2. Provide a notice on the Website (e.g., banner or pop-up) or send an email to registered users.

Your continued use of the Services after the effective date of the revised Terms constitutes acceptance of those changes.

9.3 Account Suspension & Termination

We may suspend or terminate your access to the Services (including your account) if you:

• Violate these Terms or the Privacy Policy.
• Engage in fraudulent, abusive, or illegal activities.
• Infringe on the rights of others or pose a security risk.
• Fail to pay any fees owed for paid Services.

Upon termination, your right to use the Services will immediately cease. Sections 4 (Intellectual Property), 5 (Subscriptions & Refunds), 8 (Disclaimers & Liability), 9.3 (Termination), 10 (Dispute Resolution), and 11 (Miscellaneous) will survive termination.

10.1 Informal Negotiation

In the event of any dispute or claim arising out of or relating to these Terms or the Services, you and Watermark in Word agree to first attempt to resolve the dispute through good-faith negotiations within thirty (30) days.

10.2 Governing Law & Jurisdiction

If we cannot resolve the dispute informally, you and Watermark in Word agree that:

1. These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
2. The courts located in New Castle County, Delaware, shall have exclusive jurisdiction over all disputes arising out of or relating to these Terms. Each party hereby consents to personal jurisdiction in those courts.

10.3 Arbitration (Optional)

At our discretion, we may require that disputes be resolved by binding arbitration conducted in Wilmington, Delaware, in accordance with the rules of the American Arbitration Association. If arbitration is invoked, both parties waive their right to a jury trial.

11.1 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.2 Waiver

No waiver by Watermark in Word of any right under these Terms shall be deemed a waiver of any other right or of that right on any other occasion.

11.3 Entire Agreement

These Terms (together with the Privacy Policy) constitute the entire agreement between you and Watermark in Word regarding your use of the Services and supersede any prior or contemporaneous agreements, communications, or proposals—whether oral or written.

11.4 Third-Party Links & Services

The Services may contain links to third-party websites, plugins, or services not owned or controlled by Watermark in Word. We do not endorse, and are not responsible for, the content, privacy practices, or terms of any third party.

11.5 Assignment

You may not assign or delegate your rights or obligations under these Terms without our prior written consent. Watermark in Word may assign or delegate its rights and obligations at any time without restriction.
